Introduction to Code of Conduct

About UsThe code is the guidelines for all Board Members, Managers and Other Staff for practice of ethical conduct in all business affairs. The code incorporates Anand Beliefs and Anand Way philosophies, which has been the guidelines for all business conduct.

All the principles in the code are meant to let the business functioning and practices go in ethical manner with the ownership of the responsibility. Though the code does not have all the work and situation defined but most of the problems that we encounter on day today work have been defined in this code. It is mandatory for each director, officer, and employees of Anand Automotive Limited and other Group Companies to go through the code and acknowledge and adhere to its principles.

Violating this code will result in disciplinary action including termination. The Corporate Governance Committee and for the nominated committee (if nominated) will be solely responsible for the implementation and compliance of the Code.

All complaints and queries related to the code can be submitted to the Departmental Manager or the HR Manager either in writing or in person. The same will be sent to the Corporate Governance Committee for consideration.

 

National Responsibility

The company is committed to do business which will be in the interest of the national economical, social and environmental growth. It is expected from all employees to work considering these factors before taking any activity for the organisation. In no condition should the organisation breach the law of India and also the law of operating nations.

 

Employees’ Responsibility

About UsIt is the responsibility of all employees to have their Business Practices in most ethical manner and in the interest of the organisation. While executing all business activities one must keep in mind the company's policy, mass customer interest, social commitment and human value systems.

Demonstrate leadership in establishing the culture of ethical conduct. Transparency in communication at all levels must be encouraged to show respect towards the colleagues. Employees must be prompt to report and curb and violation of code without taking the matter to any outsider or media.

The company as a policy encourages employing women to take up all kinds of role in the organisation without compromising on the efficiency of performance. This is done compliance with the govt. initiative to empower women to take up important and crucial work. Code of Personal Behavior

About UsAll the interpersonal relationship must be based on value inclusion, mutual respect and individual and corporate responsibility. Though interfering in the personal life of a employee is discouraged it is expected that one must understand that individual personal behavior affects the perception of others about the Company. It is thus expected that employees maintain high ethical values and keep away from activities which might call for a legal obligation for the organisation.

Any unacceptable conduct that is abusive, harassing, or offensive, whether that conduct is verbal, physical, or visual. This includes demeaning, insulting, embarrassing or intimidating behavior directed at an employee related to gender, age, race, color, ethnicity, national origin, sexual preference, religion, creed, physical or mental disability, marital status, pregnancy, and military/veteran status, citizenship, family responsibilities, genetic information, or any other characteristic protected by law.

There is a specific ban on unwelcome sexual advances or physical contact, sexually oriented gestures and statements, and the display or circulation of sexually oriented pictures, cartoons, jokes or other material. It is a violation of the Code to retaliate against anyone who rejects, protests, or complains about harassment or sexual harassment.

Employees are expected to keep away from consuming and trading of illegal drugs and controlled substances. This also include the prohibition of alcohol violation can result in disciplinary action, up to and including termination.

Good Working Environment, Health and Safety of all employees should be maintained in the organisation. Any conduct that infringes the above condition will be accountable for the disciplinary action by the Corporate Governance and nominated committee.

 

Protecting Anand Information, Property, and Business Records

About UsIt is expected from all employees to protect company and member information, as well as the systems and property that contain the information, to the fullest extent possible. The organisation does not commit any privacy over the information shares or stored on organisational computers, mails, intranet, and phones. The company at any point of time can investigate, monitor, search, review and block any communication or data on organisation's system even if does not pertains to business activity.

All employees in the organisation should be responsible to preserve whatever is defined as asset by the organisation in terms of Infrastructure, Information, or any other form that can cause damage to the profitability, reputation and success. The company will have the right to search all organisational property at anytime and without notice with intimation.

All research, studies, tools and other products and services which affects business and helps gain competitive edge should be protected and kept confidential whether or not the information has copyright or trademark protection.

 

Financial Integrity

About UsThe Chief financial controller and the Corporate Governance Committee will report their final decision to the Manager or the HR Manager if there is any violation in the reporting and recording of financial books, records and accounts. Business records should be clear, truthful and accurate to avoid any legal litigation. All group companies that are listed must communicate effectively with shareholders. Company's public communications, including reports and documents filed with or submitted to the Securities and Exchange Commission should provide communication as per the norms and terms specified by them.

Though the organisation has internal and external auditors to assist in monitoring such disclosures, but it is the responsibility of every employee involved to adhere to the code. Types of conduct that could constitute improper influence include


Offering or paying bribes or other financial incentives, including future employment or contracts for non-audit services,
Providing an auditor with an inaccurate or misleading legal analysis,
Threatening to cancel or canceling existing non - audit engagements if the auditor objects to the Anand’s accounting
Seeking to have a partner removed from the audit engagement because he objects to accounting
Blackmailing and making physical threats

Any action defined as fraud should not be committed either to the employees or to the outsiders. Fraud in Anand structure would mean attempting to deprive others or the organisational profits, success to have personal gains or to perform activities that are illegal.

 

Community Involvement

About UsEmployees can willingly participate, involve in any activities for the social development of their choice however there is a restriction over generating sales. If the sales is coming from social developmental activities in that case the issue can be discussed with the manager and the HR manager and might be allowed to continue with that. However in no case should the other activity interfere with the job performance. All contribution should be individual and unimposing on other employees.

Serving for Board of Directors or a similar body for another company or government agency requires the advance approval of your manager.

HIV/AIDS to be treated as the same as other illness in terms of all of our employees policies and benefits, including health and life insurance, disability benefits and leaves of absence Employees must have the right to participate in the decision making related to environmental concerns.
A worker may not be liable or be disciplined for reporting workplace practices that pose an environmental risks
All Employees have right to refuse dangerous work
All Employees have right to refuse work which harms the environment
Choose 100% Green Power or have solar panels or other renewable energy devices installed

 

Conflicts of Interest and Gifts

In all situations where there is a conflict of choice in personal and organisational benefits the organisation expects you to be committed to your responsibility towards the organisation. Employees are prohibited from engaging in activities that may give rise to a conflict or appear to conflict, with the company's interest.

The Company as policy does not allow any exchange of expensive gifts amongst the employees or the people outside. However we respect welcoming gestures like offering bouquets, cards on occasion like promotion, birthdays and weddings.

 

Application and Enforcement of the Code

The policies and guidelines reference in the code are applicable to all Directors, officers and employees. These standards are enforced fairly and without prejudice at all of levels. The organisation holds the stand to treat everyone equally on ethical grounds.
